These Terms & Conditions govern your use of the Tvita website and the software development, AI solutions, web development, cloud services, and technology consulting services we provide. By accessing our website or engaging our services, you agree to these terms. Please read them carefully before working with us.

Use of Our Website

You may use our website for lawful purposes only. You agree not to attempt to gain unauthorised access to our systems, disrupt the website’s operation, introduce malicious code, or use automated tools to extract our content at scale. We may suspend or withdraw access where we reasonably believe these terms have been breached.

Our Services

Every engagement begins with a written proposal setting out the scope, deliverables, timelines, and fees for that project. The proposal, together with any statement of work signed by both parties, forms the agreement for that engagement and takes precedence over these terms wherever the two differ. Work that falls outside the agreed scope is quoted and approved separately before it begins.

Quotations & Payments

Fees, payment schedules, and invoicing terms are set out in the proposal or statement of work for each engagement. Invoices are payable by the due date shown on them, and we may pause work on accounts that fall overdue after giving you notice. All fees are exclusive of applicable taxes, which are charged in addition at the prevailing rate.

Client Responsibilities

Delivering on time depends on both sides. We ask that you provide the content, access, approvals, and feedback we need within the timeframes agreed, and that you hold the necessary rights to any material, data, or credentials you share with us. Delays in these areas may affect the project schedule and cost, and we will tell you when that happens.

Intellectual Property

On full payment of the fees due for an engagement, ownership of the custom work we produce for you — source code, designs, and documentation — transfers to you. We retain ownership of our pre-existing tools, libraries, and general know-how, and grant you a licence to use them as part of the delivered work. Third-party and open-source components remain subject to their own licences. The Tvita name, logo, and the content of this website remain ours.

Confidentiality

Each party will keep the other’s confidential information private and use it only for the purposes of the engagement. This obligation continues after the engagement ends. It does not apply to information that is already public, was independently developed, or must be disclosed by law.

Third-Party Services

Our work often integrates third-party platforms such as cloud providers, payment processors, analytics tools, and AI APIs. Those services are governed by their own terms and pricing, and we are not responsible for their availability, changes, or performance. Where a third-party service is essential to your project, we will identify it in the proposal.

Warranties & Liability

We provide our services with reasonable skill and care, and will correct defects reported within the warranty period stated in the relevant proposal. Beyond that, our services and this website are provided without further warranties, express or implied. To the extent permitted by law, Tvita is not liable for indirect or consequential losses, including lost profits, lost data, or business interruption, and our total liability for any engagement is limited to the fees paid for it.

Termination

Either party may end an engagement by giving written notice in the manner set out in the relevant proposal. On termination you remain liable for work completed and costs committed up to that date, and we will hand over the deliverables you have paid for. Clauses that by their nature should survive — confidentiality, intellectual property, and liability — continue to apply.

Governing Law

These Terms & Conditions are governed by the laws of India. The courts of Pune, Maharashtra have exclusive jurisdiction over any dispute arising out of or in connection with them.

Updates & Contact

We may update these Terms & Conditions from time to time to reflect changes in our services, technology, or legal obligations. Any updates will be published on this page with a revised effective date, and continued use of our website or services after that date means you accept the revised terms.
